Terms of Service

These Terms of Service ("Terms") govern your use of the Kaimen platform ("Kaimen", "Service", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Overview of the Service

Kaimen provides software tools that enable businesses to manage customer bookings, communicate with customers via SMS, manage schedules and worker assignments, process operational data, and automate certain messaging and customer relationship workflows.

Kaimen is a software platform only. We do not provide the underlying services offered by businesses using the platform. Businesses using Kaimen are solely responsible for the services they provide to their customers.

2. Eligibility

You must be at least 18 years old and legally able to operate a business to use the Service. By using Kaimen you represent that you have authority to bind the business you represent and that your use of the Service complies with applicable laws.

3. Acceptable Use

You may not use the Service for illegal, abusive, or prohibited activities. Without limitation, you agree not to use the Service to:

Kaimen may suspend or terminate accounts that violate these rules.

4. Messaging Compliance

If you use Kaimen to communicate with customers, you are responsible for complying with all applicable messaging laws and regulations, including obtaining proper consent, honoring opt-out requests, complying with telecommunications regulations, and complying with policies of messaging providers such as Twilio or carriers.

Kaimen does not guarantee message deliverability and is not responsible for carrier filtering or blocking.

5. User Content

You may submit or transmit content through the Service, including business information, customer communications, photos or media, and automated messages. You retain ownership of your content. However, you grant Kaimen a limited license to store, process, transmit, and display that content solely to operate the Service.

6. Customer Data

You are responsible for how you collect and use customer data through the Service. You represent that you have the legal right to collect and process the data you upload and that you comply with applicable privacy laws. Kaimen processes data only to provide the Service.

7. Platform Integrations

Kaimen integrates with third-party services including Twilio (messaging), Stripe (payments), Cloudinary (media storage), and Anthropic (AI processing). Use of those services is subject to their respective terms. Kaimen is not responsible for interruptions or policy decisions made by third-party providers.

8. AI Features

Certain features may generate automated responses or recommendations using artificial intelligence. You acknowledge that AI outputs may contain errors, that automated messages should be reviewed as appropriate, and that you remain responsible for communications sent to your customers.

9. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately if you believe your account has been compromised.

10. Payment and Billing

If you subscribe to paid plans: fees are billed in advance, subscriptions renew automatically unless canceled, and fees are non-refundable unless required by law. New accounts include a 14-day free trial. Cancelled accounts retain access for a 30-day grace period. Failure to pay may result in suspension or termination of service.

11. Suspension and Termination

Kaimen may suspend or terminate your account if you violate these Terms, your use creates legal risk, or your activity threatens the integrity of the platform. You may stop using the Service at any time. Upon termination, your data will be retained for 90 days before deletion.

12. Data Export

Where technically feasible, Kaimen may provide mechanisms to export your data. You are responsible for maintaining your own backups if required.

13. Intellectual Property

All rights to the Kaimen platform, including software, branding, and design, remain the property of Kaimen. You may not reverse engineer the platform, copy or resell the Service, or create derivative products using Kaimen technology.

14. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or that it will meet all business needs.

15. Limitation of Liability

To the maximum extent permitted by law, Kaimen will not be liable for indirect or consequential damages, loss of profits, loss of business data, or damages caused by third-party services. Total liability will not exceed the amount paid for the Service in the preceding 12 months.

16. Indemnification

You agree to indemnify and hold Kaimen harmless from claims arising from your business operations, your use of the Service, your communications with customers, or your violation of these Terms.

17. Changes to the Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes will be resolved in the courts of that jurisdiction.
